Scope of Application<\/h3>\n\n\n\n<p>These General Terms and Conditions of Purchase apply to all orders and contracts placed by EVE Ernst Vetter GmbH (EVE) with suppliers and service providers acting as entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB). Individually agreed terms shall take precedence. Any conflicting, supplementary or deviating terms and conditions of the supplier shall apply only if expressly accepted by EVE. Acceptance of a delivery without reservation shall not constitute acceptance of such terms.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-2-orders-and-formation-of-contract\">2. Orders and Formation of Contract<\/h3>\n\n\n\n<p>Orders are generally placed in text form. The supplier shall expressly identify any deviations from the order, in particular regarding price, quantity, specifications or delivery dates. Such deviations shall become binding only upon EVE\u2019s approval. Amendments and additions require agreement between the parties. Statutory rules on the formation of contracts remain unaffected.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-3-prices-and-payment\">3. Prices and Payment<\/h3>\n\n\n\n<p>Agreed prices are binding. Unilateral price changes and surcharges not agreed upon are excluded. Statutory rights, in particular under Section 313 BGB, remain unaffected. Unless otherwise agreed, prices include packaging and transport to the agreed place of delivery. Statutory value added tax shall be shown separately. EVE shall pay net within 30 days after full performance in accordance with the contract and receipt of a proper, verifiable invoice. Payment shall not constitute acknowledgement that the goods or services are free from defects.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-4-delivery-and-delay\">4. Delivery and Delay<\/h3>\n\n\n\n<p>Unless otherwise agreed in the order, goods shall be delivered DAP EVE Ernst Vetter GmbH, Neureutstra\u00dfe 6, 75210 Keltern, Germany (Incoterms\u00ae 2020). Agreed delivery dates are binding. The supplier shall notify EVE without undue delay of any foreseeable delay, stating the reason and expected duration. In the event of delay, statutory rights shall apply.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-5-quality-documentation-and-incoming-goods-inspection\">5. Quality, Documentation and Incoming Goods Inspection<\/h3>\n\n\n\n<p id=\"h-\">Deliveries must comply with the agreed specifications and applicable legal requirements. Inspection certificates, certifications and other documents required under the order or separate agreements shall be provided as agreed. Upon receipt, EVE generally checks identity, quantity and externally visible damage; further inspections depend on the material and specific requirements. Statutory duties to inspect and notify defects, in particular under Section 377 of the German Commercial Code (HGB), remain unaffected. Defects identified shall be notified in accordance with statutory requirements.<\/p>\n<\/div>\n\n\n\n<div class=\"wp-block-column is-layout-flow wp-block-column-is-layout-flow\">\n<h3 class=\"wp-block-heading\" id=\"h-6-rights-in-the-event-of-defects-and-liability\">6. Rights in the Event of Defects and Liability<\/h3>\n\n\n\n<p>In the event of material defects or defects of title, EVE shall be entitled to its statutory rights, in particular subsequent performance and, where the statutory requirements are met, price reduction, withdrawal from the contract and damages. A credit note or price reduction may be agreed by mutual consent. The supplier shall bear the costs of subsequent performance in accordance with statutory provisions. Liability and limitation periods shall otherwise be governed by statutory law.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-7-confidentiality-and-materials-provided-by-eve\">7. Confidentiality and Materials Provided by EVE<\/h3>\n\n\n\n<p>Confidential technical or commercial information belonging to EVE may be used solely for performance of the contract and disclosed only to persons who require it for that purpose and are bound by corresponding confidentiality obligations. This does not apply to information lawfully known or publicly available, or disclosures required by law. Drawings, tools and materials provided by EVE remain EVE\u2019s property, shall be handled with due care and returned upon request unless prevented by legal obligations. Statutory consequences of processing materials with respect to ownership remain unaffected.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-8-retention-of-title\">8. Retention of Title<\/h3>\n\n\n\n<p>EVE accepts simple retention of title by the supplier in the respective goods delivered until those goods have been paid for. Extended retention of title or retention of title covering processed or resold goods, in particular security for other claims or assignments of receivables in advance, requires an express agreement. Mandatory statutory provisions and the parties\u2019 actual agreement remain decisive.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-9-force-majeure-and-legal-requirements\">9. Force Majeure and Legal Requirements<\/h3>\n\n\n\n<p>In the event of unforeseeable and unavoidable circumstances beyond the affected party\u2019s control, the parties shall promptly inform each other of the effects and expected duration and agree on appropriate measures. Statutory rights remain unaffected. The supplier shall comply with the legal requirements applicable to its performance, in particular those relating to product safety, occupational health and safety, customs and export controls.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-10-governing-law-and-jurisdiction\">10. Governing Law and Jurisdiction<\/h3>\n\n\n\n<p id=\"h-\">The laws of the Federal Republic of Germany shall apply exclusively, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). To the extent permitted by law, the courts having jurisdiction at EVE\u2019s registered office shall have exclusive jurisdiction over all disputes arising from or in connection with the contractual relationship. EVE shall also be entitled to assert claims before the courts of the supplier\u2019s general place of jurisdiction.
